Guest Terms of Service

1.Use of the Service; Venue-Only Role

STAY by Inhabit operates an online marketplace and distribution platform that enables guests ("Guests") to discover and book short-term rental accommodations offered by independent property owners, property managers, and their authorized agents (each, a "Host").

Inhabit provides the Site and related services solely as an online venue and technology platform that allows:

• Guests to view listings of, and obtain information about, short-term rental accommodations offered by Hosts; and,
• Guests to select, request, and book such accommodations directly with Hosts or other independent travel service providers.

For purposes of these Terms, a "Property" means any house, apartment, condominium, room, guesthouse, hotel, vacation rental, or other lodging or hospitality accommodation that is listed on the Site by or on behalf of a Host.

Inhabit does not own, lease, operate, manage, control, inspect, maintain, market, or contract for the rental of any Property, and does not provide lodging, accommodation, hospitality, or property management services. Any rental or stay is provided exclusively by the applicable Host, and any booking made through the Site creates a direct contractual relationship solely between you and the applicable Host, to which Inhabit is not a party.

By accessing or using the Site, you represent, warrant, and agree that:

• You will use the Site solely for your personal, non-commercial purposes;
• You are at least 18 years of age and have the legal authority to enter into binding contracts;
• You will use the Site lawfully and in compliance with these Terms and all applicable laws;
• All information you provide in connection with your use of the Site or any booking is true, accurate, current, and complete.

If you make a booking on behalf of other individuals, you further represent and agree that:

• You have obtained their authorization to act on their behalf;
• You have informed them of, and ensured their agreement to, all applicable terms, conditions, rules, and restrictions (including any Host Terms); and
• You are solely responsible for payment, communications, changes, cancellations, and all other matters relating to the booking.

You are responsible for complying with all laws, rules, and regulations applicable to your use of the Site and any transaction or stay you enter into through or in connection with the Site. You further agree to treat any Property responsibly, respect neighbors and surrounding communities, and refrain from disruptive, unsafe, unlawful, or inappropriate behavior.

2.No Agency or Fiduciary Relationship

You acknowledge and agree that no joint venture, partnership, agency, fiduciary, employment, or representative relationship exists between you and Inhabit, or between Inhabit and any Host, as a result of these Terms or your use of the Site.

Inhabit does not act as an agent, broker, fiduciary, or representative for any Guest or Host and does not owe any fiduciary duties to you in connection with any booking, listing, or stay. Any assistance, recommendations, rankings, search results, or other information provided through the Site are for convenience only and do not create any duty or assumption of responsibility.

3.Changes to These Terms

Inhabit reserves the right, in its sole discretion, to amend, modify, supplement, or replace these Terms at any time, with or without prior notice, except as expressly required by applicable law. The date listed above under "Last Updated" reflects the effective date of the most current version of these Terms.

Your continued access to or use of the Site after revised Terms are posted constitutes your affirmative acceptance of the updated Terms and your agreement to be bound by them. If you do not agree to any modification, your sole remedy is to discontinue use of the Site.

4.Force Majeure; Service Availability

Inhabit shall not be liable for any failure or delay in performance, or for any disruption, unavailability, or suspension of the Site, bookings, payments, or services, arising out of or related to events beyond its reasonable control, including without limitation acts of God, natural disasters, pandemics, public health emergencies, governmental actions, labor disputes, wars, terrorism, civil unrest, power outages, internet or telecommunications failures, payment processor outages, or failures of third-party service providers. The Site may be unavailable or experience interruptions from time to time, and Inhabit does not guarantee continuous, uninterrupted access.

5.Data Privacy; Regulatory Disclosures

Your use of the Site is subject to the Privacy Policy, which describes how we collect, use, store, and share personal information. The Privacy Policy is incorporated into these Terms by reference.

Although Inhabit is not a party to any rental agreement between you and a Host and, to the maximum extent permitted by law, assumes no responsibility or liability for legal or regulatory compliance relating to any Property, there may be circumstances in which Inhabit is nevertheless required to collect, use, or disclose information relating to a Property, booking, Guest, or Host in order to comply with applicable laws, regulations, lawful requests, or governmental, regulatory, judicial, or administrative proceedings.

Accordingly, by accessing or using the Site, you acknowledge and consent to Inhabit's disclosure of information about you, your account, your booking activity, or related transaction data to governmental authorities, regulatory bodies, courts, tax authorities, or law enforcement agencies, as required or permitted by applicable law.

Certain tax laws and regulations may require Inhabit to collect, verify, and report tax related information from Guests, including information necessary to facilitate or support tax reporting, withholding, or remittance obligations. You agree to provide any such information promptly upon request.

You are solely responsible for ensuring that all information you provide to Inhabit in connection with your use of the Site, including personal, booking, and tax information, is accurate, complete, and kept up to date. Inhabit shall have no liability for any consequences arising from inaccurate, incomplete, or outdated information provided by you.

6.Limited License and Permitted Use

Subject at all times to your full and continuing compliance with these Terms, Inhabit grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Site solely for your personal, non-commercial use and only for the following permitted purposes:

• Browsing and searching for short-term rental accommodations;
• Submitting inquiries or making reservation requests;
• Managing confirmed bookings made through the Site; and
• Communicating with Hosts exclusively through tools and functionality provided by the Site.

You agree not to use the Site for any purpose other than those expressly permitted under this license. Any rights not expressly granted are reserved by Inhabit. Inhabit may suspend, limit, or terminate this license, in whole or in part, at any time and in its sole discretion, without notice or liability.

7.Prohibited Conduct; Restrictions on Use

You agree that you will not, and will not assist or enable any other person to:

• Use the Site or its content for any commercial purpose or competitive activity without Inhabit's prior written consent;
• Copy, scrape, crawl, harvest, index, aggregate, or otherwise extract any content, data, listings, prices, availability information, images, or other materials from the Site, whether manually or by automated means (including bots, spiders, scripts, or scraping tools);
• Circumvent, bypass, defeat, or attempt to circumvent or bypass any security measure, access control, rate limit, pricing mechanism, booking flow, payment system, or availability restriction implemented by Inhabit or its service providers;
• Use the Site or contact information obtained through the Site to solicit Hosts or Guests for off platform bookings or transactions, or to divert bookings away from the Site;
• Provide false, misleading, or fraudulent information, impersonate any person or entity, create multiple accounts, make fraudulent or speculative reservations, or use any payment method that you are not authorized to use;
• Interfere with, disrupt, damage, overload, or impair the Site, its servers, networks, APIs, or related systems, or attempt to probe, scan, or test the vulnerability thereof;
• Post, transmit, or otherwise make available any content that is unlawful, harmful, abusive, discriminatory, deceptive, obscene, defamatory, or otherwise objectionable; or
• Reverse engineer, decompile, disassemble, or attempt to derive source code, underlying ideas, algorithms, or proprietary technology used in connection with the Site.

Inhabit may, in its sole discretion and without notice or liability, investigate suspected violations and take any action it deems appropriate, including suspending or terminating your access to the Site, canceling reservations, removing content, restricting functionality, or pursuing legal remedies. Inhabit's failure to enforce this Section 7 in any instance does not constitute a waiver of its right to do so in the future.

8.Accounts and Registration

Certain features of the Site may require or permit you to register for an account. You agree to provide and maintain true, accurate, current, and complete information at all times and to promptly update such information as necessary. You are solely responsible for safeguarding your account credentials and for maintaining the confidentiality of your username, password, and any other access mechanisms.

You are fully responsible for all activities conducted through your account, whether or not authorized by you, including any bookings, communications, payments, or other actions taken using your credentials. You agree to notify Inhabit immediately of any unauthorized access to or use of your account, or of any other breach of security. Inhabit shall have no liability for any loss or damage arising from your failure to safeguard your account credentials or comply with this Section 8.

Inhabit reserves the right, in its sole discretion, to suspend or terminate your account or restrict access to any portion of the Site at any time, with or without notice, including if we believe your account information is inaccurate, your account has been compromised, or you have violated these Terms.

9.Listings, Pricing, and Availability

Property listings and related information are provided by Hosts and are not verified, endorsed, or guaranteed by Inhabit. While Inhabit may facilitate the display of listing information, Inhabit makes no representations or warranties regarding the accuracy, completeness, legality, quality, or availability of any listing, including without limitation descriptions, amenities, house rules, pricing, photos, availability calendars, location details, or suitability for any purpose.

Information displayed on the Site may be inaccurate, outdated, or subject to change at any time. Inhabit does not guarantee that a Property will be available at the time of booking or that a listing will meet a Guest's expectations.

Prices displayed on the Site may include, without limitation, Host-set rates, taxes, government fees, cleaning or other Host-imposed charges, markups, service fees retained by Inhabit, and applicable processing fees. Final pricing, including applicable fees and taxes, is disclosed prior to checkout, and by completing a reservation you agree to pay the total amount presented.

Inhabit is not responsible for pricing errors, discrepancies, or changes resulting from Host updates, system limitations, or third-party integrations. If an error impacts rates, fees, taxes, availability, or the total price, the Host or Inhabit reserves the right to cancel, decline, or not confirm the reservation, even after a booking request or submission. If payment has already been collected, the Guest's exclusive remedy is a refund of the amount paid for the affected booking, except where applicable law requires otherwise.

10.Bookings and Separate Agreements

When you book or attempt to book a Property through the Site, your reservation is subject to additional terms, conditions, rules, and policies established by the applicable Host, which may include, without limitation:

• A Host-specific rental or occupancy agreement;
• Property-specific house rules, usage restrictions, and conduct requirements;
• Cancellation, refund, modification, damage, and no-show policies; and
• Any other disclosures, requirements, or policies presented prior to or at the time of booking

(collectively, the "Host Terms").

You acknowledge and agree that:

a) Direct Agreement with Host. All bookings made through the Site create a legally binding agreement solely between you and the applicable Host. Inhabit is not a party to, and has no responsibility for, any Host Terms or any rental agreement between a Guest and a Host. You are solely responsible for reviewing and complying with all Host Terms before completing a reservation.

b) Priority of Terms. To the extent these Terms conflict with any Host Terms, the Host Terms shall control solely as between you and the Host. Such conflict shall not modify, expand, or limit Inhabit's rights, disclaimers, or protections under these Terms.

c) No Assumption of Responsibility; Compliance. Inhabit does not review, verify, monitor, enforce, or guarantee any Host-provided terms, rules, policies, or agreements (collectively, "Host Terms") and expressly disclaims all liability arising from or related to the content, interpretation, enforcement, or breach of any Host Terms. Compliance with Host Terms is solely your responsibility. If you violate any applicable Host Terms, the Host may cancel your reservation, deny you access to the Property, remove you from the Property, impose penalties, or otherwise restrict or terminate your stay or related booking, without liability to Inhabit. Inhabit shall have no obligation to intervene, mediate, or provide refunds or credits in connection with any such action.

11.Payments and Service Fees

Inhabit does not guarantee refunds, credits, rebookings, or successful travel outcomes and has no obligation to provide compensation for cancellations, disruptions, dissatisfaction, or other issues arising from a Property, Host, or stay, except as expressly required by applicable law or expressly agreed by Inhabit in writing.

a) Third-Party Payment Processing. Payments made through the Site are processed by third-party payment processors. Unless otherwise indicated, Inhabit may not operate, control, or guarantee the performance of any payment processing services and is not responsible for errors, delays, reversals, chargebacks, fraud reviews, compliance holds, or system failures attributable to payment processors or financial institutions.

b) Authorization. By providing payment information, you authorize Inhabit and the applicable payment processors to charge your selected payment method for all amounts due in connection with your booking.

12.Cancellations and Refunds

All reservations are subject to the cancellation, refund, modification, and no-show policies, applicable to a reservation, disclosed at the time of booking and established by the applicable Host ("Cancellation Policy"). By completing a reservation, you agree to be bound by the applicable Cancellation Policy.

You acknowledge and agree that Hosts are solely responsible for administering, honoring, and enforcing their Cancellation Policies. Inhabit does not set, control, administer, interpret, or guarantee any Cancellation Policies and is not responsible for their enforcement or application. Certain cancellation terms may be standardized or constrained by distribution or channel requirements, but any such terms are applied on behalf of and at the direction of the applicable Host. Any rights or remedies available to a Guest in connection with a cancellation arise, if at all, solely under the applicable Cancellation Policy and solely against the applicable Host. Inhabit has no obligation to provide refunds, credits, rebookings, exceptions, or waivers outside of the applicable Cancellation Policy, except as expressly required by applicable law or expressly agreed to by Inhabit in a written instrument signed by an authorized representative.

13.User Content, Reviews, and Communications

(a) User Content Submitted by Guests

Guests may, where permitted, submit reviews, ratings, feedback, images, messages, or other content through the Site (collectively, "User Content"). By submitting or authorizing the submission of any User Content, you grant Inhabit and its affiliates a worldwide, non-exclusive, royalty-free, fully paid, perpetual, irrevocable, transferable, and sublicensable license to use, host, reproduce, modify, adapt, translate, publish, distribute, publicly display, publicly perform, and create derivative works from such User Content in any media now known or later developed, for any purpose.

You represent and warrant that: (i) you own or otherwise have all rights, licenses, consents, and authority necessary to submit the User Content and grant the foregoing license; and (ii) your User Content does not violate any law, infringe any third-party rights, or violate these Terms or the Content Guidelines (as defined below).

Inhabit does not verify, endorse, or guarantee the accuracy, reliability, or truthfulness of any User Content and assumes no responsibility or liability for it. Inhabit may remove, restrict, or disable access to any User Content at any time, with or without notice, and without liability.

"Content Guidelines" means Inhabit's content standards, rules, and moderation guidelines governing the submission, display, publication, and removal of content on the Site, as updated from time to time, and made available through the Site or Inhabit's help or support pages. The Content Guidelines form part of these Terms and are incorporated herein by reference. Inhabit reserves the right to interpret and enforce the Content Guidelines in its sole discretion, subject to applicable law.

(b) User Content Submitted by Hosts and Third Parties

The Site also contains content relating to Properties that is provided by Hosts and other third parties, including listing descriptions, pricing, availability, images, amenities, policies, and translations (collectively, "Third-Party Content").

While Inhabit requests that Hosts and third parties ensure that their content:

• complies with Inhabit's Content Guidelines; and
• is accurate, complete, current, and, where applicable, properly translated.

Inhabit does not review, verify, endorse, or guarantee Third-Party Content and is not responsible for its accuracy or completeness, except to the extent required by applicable law. Hosts and other third parties are solely responsible for their content and any representations made therein.

Where Third-Party Content is displayed using automated tools (including automated translation services), Hosts remain solely responsible for the accuracy and completeness of the resulting content and for correcting any deficiencies.

Inhabit shall not be liable for Third-Party Content unless and only to the extent that Inhabit directly caused a specific inaccuracy in such content. If you believe a Host has provided inaccurate or misleading information, you may notify us through our support channels.

(c) Reviews

Subject to the Content Guidelines:

• Guests who have completed a booking through the Site may submit reviews relating to a Property or Host;
• Hosts may view and respond to Guest reviews; and
• Hosts may, where permitted, submit reviews of Guests' stays.

All reviews and responses must comply with the Content Guidelines. Inhabit may remove or restrict reviews or responses that violate these Terms or the Content Guidelines, that are harmful to the Site or to Inhabit (in Inhabit's sole discretion) or that are alleged or determined to be unlawful. Inhabit expressly disclaims any liability for reviews or responses, subject to applicable legal or regulatory obligations.

Inhabit does not edit reviews or responses on behalf of Guests or Hosts. Guests or Hosts may request removal of their own reviews or responses through Inhabit's support channels.

(d) Content Removal and Enforcement

Without limitation and subject to applicable law, Inhabit:

• does not endorse or guarantee any content on the Site;
• will remove or disable access to content if Inhabit becomes aware that it is illegal or is required to do so by law;
• may reject, remove, restrict, or disable content that violates these Terms or the Content Guidelines; and
• may suspend or terminate a Guest's account in connection with content violations.

Where required by law, notice may be provided and an appeal mechanism made available.

(e) Communications Through the Site

Communications transmitted through the Site must relate solely to legitimate booking inquiries, reservations, or stays. Spam, unsolicited commercial communications, and off-platform solicitation are prohibited.

You agree that any personal information you obtain through the Site may be used only for permitted, booking-related purposes and in compliance with applicable data protection and anti-spam laws. You may not misuse, disclose, or exploit such information for marketing, solicitation, or any unlawful purpose.

Communications transmitted through the Site may be reviewed by Inhabit's personnel or service providers solely for purposes including:

• compliance with legal obligations;
• customer support, education, or dispute resolution;
• fraud prevention; and
• enforcement of these Terms.

Inhabit may remove or redact information from communications (such as contact details or prohibited content) to ensure compliance with these Terms and applicable law.

Guests and Hosts are solely responsible for the content of their communications with each other.

(f) Interactive Computer Service

The Site constitutes an interactive computer service under applicable law. Content made available through the Site by Guests, Hosts, and other third parties, including reviews, listings, descriptions, images, and communications, constitutes third-party content. To the maximum extent permitted by law, Inhabit shall not be liable for any third-party content, including without limitation under laws governing defamatory, misleading, inaccurate, or unlawful content, even if such content is displayed, organized, transmitted, recommended, or moderated through the Site. Inhabit has no obligation to monitor, verify, or remove third-party content except as required by applicable law and reserves the right to remove or restrict content in its sole discretion.

14.Disclaimer of Warranties

THE SITE, ALL LISTINGS, AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INHABIT EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, RELIABILITY, QUALITY, OR SUITABILITY, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

Without limiting the foregoing, Inhabit makes no representations or warranties that: (a) the Site or any features, content, AI-generated output, listings, communications, or services will be accurate, complete, current, or reliable; (b) access to the Site will be uninterrupted, timely, secure, or error free; (c) defects, errors, or vulnerabilities will be identified or corrected; (d) the Site or any systems are free of viruses, malware, harmful code, or other security risks; or (e) any Property, Host, listing, stay, experience, or outcome will meet your expectations or requirements.

You acknowledge and agree that your use of the Site is at your sole risk. Any information, content, or materials obtained through the Site are used at your own discretion, and you assume full responsibility for any damage or loss resulting from such use. No advice, information, or statements, whether oral or written, obtained from Inhabit or through the Site shall create any warranty not expressly stated in these Terms.

15.Limitation of Responsibility and Liability

Inhabit expressly disclaims, to the fullest extent permitted by law, all liability arising from or relating to any Property, listing content, Host acts or omissions, Guest acts or omissions, stay, experience, transaction, or any agreement or interaction between Guests and Hosts. This includes, without limitation, claims relating to property condition, safety or security, habitability, cleanliness, amenities, services, cancellations, refunds, pricing, representations, omissions, Host compliance with laws, or Guest conduct.

All obligations, liabilities, and responsibilities arising from a booking or stay rest solely with the applicable Host and Guest.

To the maximum extent permitted by law:

• Inhabit shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or use, even if advised of the possibility of such damages; and
• Inhabit shall not be liable for any personal injury, death, property damage, emotional distress, lost enjoyment, or other losses arising out of or related to any stay, Property, Host conduct, or Host omissions.

If, notwithstanding the foregoing, Inhabit is held liable for any claim arising out of or related to the Site or these Terms, Inhabit's total aggregate liability shall not exceed one hundred United States Dollars (US $100), unless a different liability cap is expressly set forth in a valid agreement signed by Inhabit.

16.Indemnification

You agree to defend, indemnify, and hold harmless Inhabit, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your access to or use of the Site;
• Your violation of these Terms or applicable law;
• Your booking, stay, conduct, or interactions at any Property; or
• Any User Content or information you submit to the Site or otherwise.

17.Use of Artificial Intelligence

Inhabit may use artificial intelligence, machine learning, and other automated technologies (collectively, "AI Tools") to operate, maintain, and improve the Site and related services. AI Tools may be used, without limitation, to display, organize, summarize, translate, recommend, or otherwise enhance listings and content; provide automated customer support; detect or prevent fraud, abuse, or security issues; and improve search functionality, pricing insights, analytics, and overall user experience. You acknowledge that AI-generated or AI-assisted content may be automated and may contain inaccuracies, omissions, or outdated information. Inhabit may use data generated through your use of the Site, including interactions with AI Tools, to maintain, train, improve, and refine its systems, subject to applicable law and the Privacy Policy.

AI Tools are provided for informational and operational purposes only and do not constitute advice, representations, warranties, or guarantees of any kind. Inhabit disclaims all responsibility for the accuracy, completeness, or reliability of any AI-generated or AI-assisted output, and you agree not to rely on such content in lieu of independent judgment or verification. The use of AI Tools does not create any duty, warranty, agency, or fiduciary relationship, and Hosts remain solely responsible for the accuracy and completeness of their listings and disclosures. You may not use the Site or any content or data obtained from the Site, including AI-generated output, to train, develop, test, or improve artificial intelligence or machine-learning systems without Inhabit's prior written consent. By accessing or using the Site, you acknowledge and agree to Inhabit's use of AI Tools as described in this Section 17.

18.International Travel

Guests are solely responsible for determining, reviewing, and complying with all applicable entry, exit, passport, visa, health, vaccination, customs, immigration, and other travel requirements for any international travel. Inhabit does not provide travel, immigration, or medical advice.

To the fullest extent permitted by law, Inhabit disclaims all liability for denied boarding, refusal of entry or transit, quarantines, delays, cancellations, governmental actions, public health measures, or any related losses, costs, or damages arising from international travel.

19.Assumption of Risk; Release of Claims

You acknowledge and agree that short-term rental accommodations and travel inherently involve risks, including without limitation risks of personal injury, illness, exposure to allergens, unsanitary conditions, criminal activity, unsafe premises, swimming pools, hot tubs, stairs, elevators, appliances, fire hazards, environmental conditions, utility failures, and the acts or omissions of other individuals.

By booking or staying at any Property, you voluntarily and knowingly assume all risks associated with your stay, whether known or unknown, foreseeable or unforeseeable.

To the maximum extent permitted by law, you hereby release, waive, and forever discharge Inhabit and its affiliates, and their respective officers, directors, employees, contractors, and agents, from any and all claims, demands, causes of action, damages, losses, liabilities, or expenses of any kind arising out of or related to your stay at any Property, including without limitation claims for personal injury, death, property damage, emotional distress, loss of enjoyment, or economic loss.

This release applies regardless of whether such claims arise from negligence (other than gross negligence or willful misconduct where prohibited by law), premises liability, failure to warn, or any other legal theory.

20.Governing Law; Class Action Waiver

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Site, any booking, transaction, or interaction with Inhabit (whether sounding in contract, tort, statute, fraud, misrepresentation, or any other legal theory) shall be governed by and construed in accordance with the laws of the State of New York, United States of America, without regard to its conflict of laws principles, and the United Nations Convention on Contracts for the International Sale of Goods shall not apply. Any such dispute or proceeding shall be brought exclusively in the state or federal courts located in New York City, New York, and the parties irrevocably consent to the personal jurisdiction and exclusive venue of such courts and waive any objection based on forum non conveniens or lack of jurisdiction. To the fullest extent permitted by applicable law, all disputes and proceedings shall be brought solely on an individual basis, and you and Inhabit expressly waive any right to bring or participate in any class, collective, consolidated, representative, private attorney general, or similar action. If this class action waiver is found to be unenforceable with respect to a particular claim or remedy, that claim or remedy shall be severed and the remaining provisions of this Section 20 shall remain in full force and effect.

21.Assignment

You may not assign or transfer these Terms, in whole or in part, without Inhabit's prior written consent. Any attempted assignment in violation of this Section 21 is void. Inhabit may freely assign these Terms, including in connection with a merger, acquisition, restructuring, or sale of assets.

22.Entire Agreement; Order of Precedence; Severability

These Terms, together with any additional terms, policies, or Transaction-Specific Terms expressly incorporated by reference, constitute the entire and exclusive agreement between you and Inhabit with respect to your access to and use of the Site and supersede and replace all prior or contemporaneous agreements, understandings, negotiations, representations, warranties, or communications, whether written or oral, relating to the subject matter hereof.

You acknowledge and agree that you have not relied on any statement, representation, or promise not expressly set forth in these Terms. No oral or written statements, marketing materials, FAQs, support communications, or other information provided by Inhabit or its affiliates shall modify these Terms unless expressly incorporated herein or agreed to in a writing signed by Inhabit.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties as closely as possible.

23.Survival

Sections relating to intellectual property, disclaimers of warranties, limitation of liability, assumption of risk, release, indemnification, class action waiver, governing law, venue, payment obligations, and any other provisions that by their nature should survive termination shall survive the termination or expiration of these Terms.

24.Intellectual Property

Except for content submitted by Guests, Hosts, or other third parties, the Site and all content and materials made available through it, including text, images, graphics, logos, trademarks, software, interfaces, data, search tools, algorithms, and all related intellectual property rights (collectively, the "Inhabit IP"), are owned by or licensed to Inhabit and are protected under applicable intellectual property laws. No rights are granted to you except for the limited, revocable license to access and use the Site in accordance with these Terms. All rights not expressly granted are reserved by Inhabit.

You may not copy, reproduce, modify, distribute, sell, license, reverse engineer, scrape, or otherwise exploit any portion of the Site or Inhabit IP, except as expressly permitted by these Terms. You may not use any content or data obtained from the Site, including listings, images, pricing, availability information, reviews, or AI-generated output, to train, develop, test, or improve any artificial intelligence, machine-learning, or similar system without Inhabit's prior written consent.

Hosts and other third parties retain ownership of the content they provide to the Site, including property listings and related materials. You acquire no ownership or proprietary rights in any such content, and your use of it is limited to personal, non-commercial use through the Site in accordance with these Terms.
